Balwin Properties have sought to take control of the Paardevlei Lifestyle Estate in Somerset West by unlawfully manipulating votes such that 4 of the 5 Trustees are Balwin employees or affiliates. Among it's many problems, this enables the Trustees to unlawfully use Balwin Properties and construction for remedial, repairs and maintenance work from which they derive a monetary benefit. Of course, at law, Trustees may not vote in respect of any resolution in which they hold an interest, but this has not stopped Balwin. Balwin has been contracted to perform works at the Estate. They have provided members with the Rules of the scheme which have not been approved as required and which they enforce among the membership. This has enabled them to hold all the voting rights of all members which has ensured that the owners have no voting rights at all. This invalid insertion into the Rules of the scheme by Balwin Properties at the time of development enables them to do what they like and use the residential estate funds as they see fit and to provide them with contract work. Nearly 300 owners in this premium residential estate have no voting rights in terms of the Rules which is a contradiction of the law. This will enable Balwin to build a school and an office block on the estate property, use the estate common property, decide all the rules, manipulate all votes, charge levies as they like and have representation on the board of the adjacent estate. This all in contravention of their fiduciary duties in the positions of Trustees which is to act in the interests of the Body Corporate. They are simply furthering Balwin interests and not the Estate to whom thery are responsible.
